Terms of Service

Summary: These Terms govern your use of the Augmenti platform. Free trials are time-limited with hard token caps. All paid plans also have monthly token limits — AI features pause when a limit is reached, not billed at overage. You own everything you create. AI outputs are not guaranteed to be accurate.

1. Definitions

In these Terms, the following words have the meanings set out below.

2. Acceptance of Terms

By creating an account, accepting an invitation, or using any part of the Platform, you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference.

If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. If you do not have that authority, do not use the Platform.

We may update these Terms from time to time. We will notify Account Holders by email at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.

3. Free Trial Terms & Limits

3.1 Trial Duration

The free trial begins on the date the Account Holder's email address is verified and their account is activated. The trial expires automatically at 23:59 AEST on the 14th calendar day thereafter, regardless of whether the account has been actively used.

We do not offer trial extensions unless agreed in writing by Augmenti.

3.2 Team & Member Limits

Trial accounts are limited to one (1) active team. Structural limits (number of teams, members) are displayed during sign-up and in your trial dashboard. Attempts to exceed these limits will be blocked by the Platform.

3.3 Token Cap During Trial

Trial accounts are allocated a fixed AI Token pool for the entire trial period, as shown during sign-up and in your trial dashboard. This is a single cumulative pool — not a monthly allowance. Tokens consumed cannot be replenished during the trial.

When 80% of the trial token allocation has been consumed, the Account Holder will receive an email notification and an in-app warning.

When the trial token cap is reached, all AI features — including agent chat, artefact generation, and phase transitions — will be suspended immediately. Non-AI features (viewing artefacts, accessing the workspace) will remain available. No automatic overages are charged.

To restore AI access, the Account Holder must upgrade to a paid plan before the trial expires.

3.4 Trial Data Retention

Content created during the trial will be retained for 30 days after the trial expires. After 30 days, all Content associated with the trial account will be permanently deleted unless the Account Holder has upgraded to a paid plan.

We will send a deletion warning email 7 days before permanent deletion occurs.

3.5 Trial Provided "As-Is"

The free trial is provided "as-is" with no warranty, service level agreement, or support commitment. We do not guarantee uptime, data durability, or feature completeness during the trial period. Section 11 (Disclaimers) and Section 12 (Limitation of Liability) apply in full to trial use.

4. Subscription Plans & Token Caps

4.1 Plan Overview

The following plan tiers are available. Current features, team limits, and token allocations for each plan are published on the Augmenti website and displayed in your account dashboard. These details are subject to change with notice as set out in Section 16.

4.2 Monthly Token Caps — How They Work

Each paid plan includes a monthly AI Token cap that resets on the first day of each calendar month (at 00:00 UTC). The cap represents the maximum number of AI Tokens your Organisation may consume across all teams in that calendar month.

No automatic overages. We do not charge you for tokens consumed beyond your cap, and we do not automatically extend your cap. When your monthly cap is reached, AI features are suspended for the remainder of that calendar month. There is no buffer, grace period, or automatic billing for additional tokens.

4.3 Warning Thresholds

We will notify the Account Holder by email and in-app notification when:

It is the Account Holder's responsibility to monitor token usage via the Organisation dashboard and to upgrade their plan before the cap is reached if uninterrupted AI access is required.

4.4 What Happens When the Cap Is Reached

4.5 Enterprise Custom Caps

Enterprise customers may negotiate a custom monthly token cap and associated pricing via an Order Form executed between the Account Holder and Augmenti. The Order Form supersedes these standard plan limits for the Organisation. All other Terms continue to apply.

4.6 Token Counting Methodology

Token counts are calculated by the underlying AI provider (Amazon Web Services, via Amazon Bedrock) using their standard tokenisation methodology. Augmenti does not independently verify token counts — the AI provider's count is authoritative. Tokens are counted for both prompt input (including system prompts and injected artefacts) and model output. Disputed token counts should be raised with Augmenti support, but refunds are not provided for claimed undercounting.

5. Accounts & Access

5.1 Account Registration

Access to the Platform requires an invitation from either Augmenti (for Account Holders) or from an Account Holder (for Users). Open public registration is not currently available. By accepting an invitation, you agree to provide accurate registration information and to keep it current.

5.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at security@augmenti.io if you suspect unauthorised access. We are not liable for losses arising from your failure to maintain credential security.

5.3 User Roles

The Platform assigns Users one of the following roles, each with different permissions: Admin, Facilitator, Team Lead, and Member. Account Holders have full administrative access. Role assignments are the responsibility of the Account Holder and their designated Admins.

5.4 Minimum Age

The Platform is intended for use by individuals aged 18 or over. Account Holders using the Platform in an institutional setting (e.g., universities) accept responsibility for ensuring any Users under 18 have appropriate parental or institutional consent, to the extent required by applicable law.

6. Your Content & Data Ownership

6.1 You Own Your Content

You retain full ownership of all Content you create, upload, or generate using the Platform. These Terms do not transfer any intellectual property rights in your Content to Augmenti.

6.2 Licence to Operate the Platform

You grant Augmenti a limited, non-exclusive, worldwide, royalty-free licence to store, process, display, and transmit your Content solely to the extent necessary to provide the Platform to you and your Users. This licence terminates when you delete Content or close your account (subject to retention periods in our Privacy Policy).

6.3 AI-Generated Content

Content generated by the AI agents in response to your prompts is provided for your use. To the extent that AI-generated outputs are capable of attracting intellectual property rights, Augmenti does not assert ownership over those outputs. You are responsible for reviewing AI-generated Content before relying on it.

6.4 No Training Use

Augmenti does not use your Content — including conversation history, artefacts, or prompts — to train, fine-tune, evaluate, or improve AI models. Our AI provider (Amazon Web Services) has confirmed that customer data processed through Amazon Bedrock is not used for model training. This applies to all plans including the free trial.

6.5 Data Export

Account Holders may export their Organisation's Content in supported formats at any time via the Organisation dashboard. We will provide a complete data export on request with a processing time of up to 30 days.

7. AI Services & Output Disclaimer

7.1 AI Provider

The Platform's AI capabilities are powered by large language models made available through Amazon Bedrock, a managed AI service operated by Amazon Web Services. By using AI features, you also agree to be bound by AWS Service Terms to the extent applicable to end users.

7.2 AI Outputs Are Not Professional Advice

AI-generated outputs on the Platform are provided for creative ideation, process facilitation, and design thinking support only. They do not constitute legal, financial, medical, engineering, or other professional advice. You should not rely on AI outputs as a substitute for qualified professional judgment.

7.3 Accuracy Disclaimer

AI outputs may be inaccurate, incomplete, or misleading. Large language models can "hallucinate" — generating plausible-sounding but incorrect information. All AI outputs should be reviewed critically by a qualified person before being acted upon. Augmenti makes no representations about the accuracy, completeness, or fitness for purpose of any AI-generated content.

We are not liable for decisions made by you or your Users based on AI-generated outputs. See Section 12 (Limitation of Liability).

7.4 Model Updates

We may update the underlying AI models used by the Platform without notice. Model changes may affect the style, format, or content of AI outputs. We do not guarantee that outputs will be consistent across different model versions.

7.5 Prohibited AI Uses

In addition to the general Acceptable Use restrictions in Section 8, you must not attempt to use the Platform's AI features to:

9. Billing & Payment

9.1 Subscription Fees

Paid plans are billed monthly or annually in advance, as selected at sign-up. Prices are displayed in Australian dollars (AUD) unless otherwise stated and are inclusive of GST where applicable.

9.2 Payment Processing

Payment is processed by Stripe, Inc. By providing payment details, you authorise us to charge your payment method on each billing cycle. Augmenti does not store raw payment card data.

9.3 Failed Payments

If a payment fails, we will retry the charge using standard Stripe retry logic. If payment is not received within 7 days of the due date, access to paid features may be suspended. Your Content will be retained for a further 30 days after suspension to allow you to resolve billing issues.

9.4 Upgrades & Downgrades

Plan upgrades take effect immediately; you will be charged the pro-rata difference for the current billing period. Plan downgrades take effect at the start of the next billing period. You will not receive a refund for unused capacity in the current period when downgrading.

9.5 Cancellation

You may cancel your subscription at any time via the Organisation settings page. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months except as required by the Australian Consumer Law or at our sole discretion.

9.6 Price Changes

We may change subscription prices with at least 30 days' notice by email. Continued use after the notice period constitutes acceptance of the new pricing.

10. Suspension & Termination

10.1 Termination by You

Account Holders may close their account at any time via the Organisation settings page or by contacting hello@augmenti.io. Upon closure, your Content will be retained for 30 days and then permanently deleted, unless a longer retention period is required by law.

10.2 Termination or Suspension by Us

We may suspend or terminate your account immediately, with or without notice, if:

On termination, your right to access the Platform ceases immediately. Sections 6, 11, 12, 13, 14, and 17 survive termination.

11. Warranties & Disclaimers

To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

Nothing in these Terms excludes any guarantee, warranty, or right that cannot be excluded under the Australian Consumer Law (Schedule 2, Competition and Consumer Act 2010 (Cth)).

12. Limitation of Liability

Liability Cap. To the maximum extent permitted by law, Augmenti's total cumulative liability to you under or in connection with these Terms or the Platform — whether in contract, tort (including negligence), statute, or otherwise — is limited to the greater of: (a) the total fees paid by you to Augmenti in the 12 months immediately preceding the event giving rise to the claim, or (b) AUD $100.

To the maximum extent permitted by law, Augmenti is not liable for any:

You agree to indemnify, defend, and hold harmless Augmenti and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

14. Intellectual Property

The Platform, including its design, software, trademarks, logos, agent prompts, workflow logic, and all underlying technology, is owned by Augmenti and protected by Australian and international intellectual property laws.

These Terms do not grant you any rights in or to the Platform beyond the limited licence to use it as described herein. You must not copy, modify, reverse-engineer, decompile, or create derivative works of any part of the Platform.

Feedback you provide to Augmenti about the Platform may be used by us to improve our services without obligation to you.

15. Privacy

Our collection and handling of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to our privacy practices as described in the Privacy Policy.

Account Holders are responsible for ensuring that their invited Users are notified of, and have consented to, the collection of their personal information in accordance with applicable privacy laws, including the Australian Privacy Act 1988 (Cth).

16. Changes to These Terms

We may modify these Terms at any time. For material changes, we will provide at least 14 days' notice to Account Holders via the email address associated with their account. The "Last updated" date at the top of this page will be revised whenever Terms are changed.

If you do not agree to the revised Terms, you must stop using the Platform and cancel your subscription before the effective date of the changes. Continued use after the effective date constitutes acceptance of the updated Terms.

17. General

17.1 Governing Law

These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict of law provisions. Each party submits to the exclusive jurisdiction of the courts of Victoria for any dispute arising under or in connection with these Terms.

17.2 Dispute Resolution

Before initiating formal legal proceedings, you agree to contact us at legal@augmenti.io and allow us 30 days to attempt to resolve the dispute informally. This clause does not prevent either party from seeking urgent injunctive relief.

17.3 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Augmenti regarding the Platform and supersede all prior agreements, representations, or understandings.

17.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.

17.5 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

17.6 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

17.7 Force Majeure

Neither party is liable for delays or failures in performance caused by circumstances beyond their reasonable control, including natural disasters, pandemic, acts of government, internet outages, or failures of third-party infrastructure providers.
